These Terms of Use (the "Terms") govern your access to and use of the website located at https://www.gummx.com and any pages, content, features, or services made available through it (collectively, the "Site"). The Site is operated by GummX Industries, LLC, a Delaware limited liability company ("GummX," "we," "us," or "our").

By accessing or using the Site, you agree to these Terms. If you do not agree, do not use the Site.

1. Purpose of the Site

The Site provides general information about GummX, its gummy product development and manufacturing capabilities, quality systems, facilities, and related services. Site content is provided for general informational and business-development purposes only.

Nothing on the Site constitutes a binding offer, manufacturing commitment, product specification, warranty, regulatory opinion, or agreement to provide services. Any manufacturing, development, supply, confidentiality, pricing, or other commercial relationship with GummX will be governed solely by a separate written agreement signed by authorized representatives of the parties.

2. Eligibility and Business Use

You may use the Site only if you are legally able to enter into a binding agreement. If you use the Site on behalf of a company or other organization, you represent that you have authority to act on its behalf and to bind it to these Terms.

3. No Medical, Regulatory, or Professional Advice

Information on the Site is not medical, nutritional, legal, regulatory, quality-assurance, or other professional advice. Statements concerning ingredients, products, capabilities, certifications, or manufacturing processes are general descriptions and may not apply to a particular formulation, market, claim, or regulatory classification. You are responsible for obtaining appropriate professional advice and independently evaluating your product and regulatory requirements.

4. Intellectual Property

The Site and its content, including text, graphics, photographs, videos, designs, software, logos, trademarks, service marks, trade dress, and other materials, are owned by or licensed to GummX and are protected by intellectual property laws.
Subject to these Terms, GummX grants you a limited, revocable, nonexclusive, nontransferable license to access and use the Site for legitimate internal business purposes. You may not copy, reproduce, republish, distribute, modify, create derivative works from, publicly display, scrape, frame, reverse engineer, or commercially exploit any Site content without our prior written permission, except as allowed by applicable law.

GummX, the GummX name and logo, and associated branding are trademarks or service marks of GummX. No license to use them is granted by these Terms.

5. Information You Submit

You may submit information through contact and request-a-quote forms. You represent that the information you submit is accurate, lawful, and that you have the right to provide it. Do not submit confidential product formulas, trade secrets, sensitive personal information, protected health information, export-controlled information, or other confidential materials through the Site unless GummX has expressly authorized the submission method and any applicable confidentiality terms are already in place.
Submitting an inquiry does not create a confidential, fiduciary, manufacturing, customer, or other contractual relationship. GummX may use submitted information to respond to you, evaluate a potential business relationship, provide requested information, maintain business records, and communicate about relevant services, in accordance with our Privacy Policy.

6. Acceptable Use

You may not:

• use the Site in violation of any law or third-party right;

• attempt to gain unauthorized access to the Site, its systems, or related networks;

• introduce malware, malicious code, or content designed to disrupt or damage the Site;

• use automated means to extract data or interfere with Site operation without written permission;

• impersonate another person or misrepresent your identity, affiliation, or authority; or

• use Site content to create a misleading impression that GummX sponsors, endorses, or is affiliated with you or your products.

The Site may contain links to or integrations with third-party websites and services. GummX does not control and is not responsible for their content, availability, security, or privacy practices. Your use of third-party services is governed by the third party's own terms and policies.

8. Site Availability and Changes

We may modify, suspend, restrict, or discontinue any part of the Site at any time. We do not guarantee that the Site will always be available, secure, accurate, complete, current, or free of errors or harmful components.

9. Disclaimer of Warranties

TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE SITE AND ALL CONTENT ARE PROVIDED "AS IS" AND "AS AVAILABLE." GUMMX DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, ACCURACY, AND QUIET ENJOYMENT. Some jurisdictions do not permit certain warranty exclusions, so some exclusions may not apply to you.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, GUMMX AND ITS MEMBERS, MANAGERS, OFFICERS, EMPLOYEES, AGENTS, AFFILIATES, LICENSORS, AND SERVICE PROVIDERS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, REVENUE, DATA, BUSINESS, OR GOODWILL, ARISING FROM OR RELATED TO THE SITE OR THESE TERMS, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE TOTAL LIABILITY OF GUMMX AND THE OTHER GUMMX PARTIES FOR ALL CLAIMS ARISING FROM OR RELATED TO THE SITE OR THESE TERMS WILL NOT EXCEED ONE HUNDRED U.S. DOLLARS (US $100). These limitations do not apply to liability that cannot lawfully be limited or excluded.

11. Indemnification

To the extent permitted by law, you agree to defend, indemnify, and hold harmless GummX and its members, managers, officers, employees, agents, affiliates, licensors, and service providers from claims, liabilities, damages, judgments, losses, costs, and expenses, including reasonable attorneys' fees, arising from your violation of these Terms, misuse of the Site, or infringement of another person's rights.

12. Governing Law and Venue

These Terms are governed by the laws of the State of Colorado, without regard to conflict-of-laws principles. Any legal action arising from or relating to the Site or these Terms must be brought exclusively in the state or federal courts located in or serving Mesa County, Colorado, and each party consents to their jurisdiction and venue. This section does not deprive a consumer of protections that cannot be waived under applicable law.

13. Changes to These Terms

We may update these Terms by posting a revised version on the Site and changing the effective date. Changes apply prospectively when posted unless a later date is stated. Your continued use of the Site after the effective date constitutes acceptance of the revised Terms.

14. General Terms

If any provision of these Terms is held unenforceable, it will be modified to the minimum extent necessary and the remaining provisions will remain in effect. Our failure to enforce a provision is not a waiver. These Terms constitute the entire agreement between you and GummX concerning use of the Site, except that the Privacy Policy and Cookie Policy also apply. You may not assign your rights under these Terms without our written consent. We may assign these Terms as part of a merger, reorganization, financing, sale of assets, or other business transaction.
